Artificial Intelligence Terms (“AI Terms”) are incorporated by reference into the Terms of Service or any other agreement between you and Georgia Registered Agent LLC (“Georgia Registered Agent LLC” “we,” “us,” or “our”). These AI Terms apply to generative artificial intelligence features we make available as part of our services, client portal, tools, chatbots, or related offerings (collectively, “AI Features”). In the event of a conflict between these AI Terms and the Terms, these AI Terms control solely with respect to the AI Features.

1. Identifying AI Features

a. We will identify AI Features clearly in our services, client portal, documentation, or website (for example, by labeling them “Powered by AI,” “AI-Generated,” or similar language). Where required by applicable law, we will also provide appropriate disclosures regarding the synthetic or AI-generated nature of content.

2. Input and Output

a. Processing and Training. AI Features generate Output in response to Input you provide. Input and Output are treated as customer data under the Terms. We will not permit our subcontractors (including third-party AI model providers) to use your Input, Output, data and or documents to train or improve their models. We process data solely to provide the requested services, consistent with our privacy commitments.

b. Ownership. As between you and Georgia Registered Agent LLC, and to the extent permitted by applicable law, you retain all right, title, and interest in your Input, and you own the Output. Georgia Registered Agent LLC and its licensors own all right, title, and interest in and to the AI Features, including the underlying models, algorithms, software, and any improvements thereto.

c. Your Responsibility. You are solely responsible for evaluating, verifying, and using any Output, including assessing its suitability, accuracy, completeness, and compliance with applicable law for your intended purposes. Output is not legal advice, tax advice, accounting advice, or any form of professional services, and is not a substitute for advice from a qualified professional.

d. Restrictions on Input and Use of Output. In addition to Section 5, you must not (and must not permit others to):

• Provide Input that violates third-party rights or applicable law, or that is reasonably likely to generate Output that does so;
• Provide Input containing personal data of children under 13 (or below the applicable age of digital consent);
• Use Output in any manner that you know or reasonably should know violates third-party rights or applicable law;
• Represent Output as human-generated, or as approved, endorsed, or created by Georgia Registered Agent LLC, its affiliates, or its subcontractors;
• Use AI Features to provide legal, tax, or other regulated professional services to third parties.

e. Document Analysis and Processing. By uploading, storing, or maintaining documents within your account, you grant us a limited, non-exclusive, fully paid, and royalty-free license to access, parse, and analyze such documents solely for the purpose of generating automated responses, extracts, and summaries as requested by you through the software interface.

f. Nature of AI Output. AI Features generate Output using artificial intelligence, which may include technology provided by third-party providers. Due to the nature of generative AI: (i) Output may not be unique to you; (ii) similar Input may produce different Output; (iii) Output may contain errors, inaccuracies, biases, or “hallucinations”; and (iv) Output does not represent Georgia Registered Agent LLC’s views, legal positions, or endorsements. AI Features are tools only. You remain solely responsible for all business, compliance, legal, and operational decisions.

3. AI Assistants

a. AI Assistants are AI Features that perform limited, directed actions at your instruction (for example, answering queries or summarizing information) (“Assistants”). Assistants may be provided by us or integrated with third-party technology.

b. You are solely responsible for reviewing the actions and responses of any Assistant and determining their appropriateness. Unless otherwise stated, Assistants do not (and are not authorized to) file documents with any government agency, act as your registered agent, accept service of process, execute legal instruments, or perform any other legal or regulated action on your behalf. You remain fully responsible for all filings, compliance obligations, and legal consequences arising from your use of Assistants.

4. Intellectual Property

a. Georgia Registered Agent LLC and its licensors own all rights, title, and interest in the AI Features, including models, algorithms, software, interfaces, and any improvements, feedback, or derivative works. You may not reverse-engineer, decompile, disassemble, or attempt to extract source code, model weights, or underlying architecture from the AI Features.

5. Prohibited Uses

a. You agree not to use AI Features:

• For any illegal, harmful, fraudulent, or unethical purpose, including generating deceptive advertising, spam, phishing content, or material that violates applicable advertising or consumer-protection laws;
• To generate content that infringes third-party intellectual property or other rights, or that promotes hate speech, violence, discrimination, or illegal activity;
• To create or distribute deepfakes, synthetic media, or other content intended to deceive others about the authenticity or source of the material, except where clearly disclosed as AI-generated and otherwise lawful;
• To overload, disrupt, interfere with, or attempt to gain unauthorized access to any Georgia Registered Agent LLC service or system (including through automated scripts, excessive queries, or scraping);
• To develop, train, or improve competing products or services;
• In any high-risk context that would require specialized professional judgment or that is restricted under applicable AI regulations (including, without limitation, automated decisions with significant legal or similarly significant effects on individuals without appropriate human oversight).

b. We reserve the right to monitor usage of AI Features, remove content, suspend or terminate access, or take other appropriate action if we determine, in our sole discretion, have been violated.

6. AI-Specific Disclosures and Limitations

a. We disclaim all liability for errors, omissions, or consequences arising from AI-generated content.

b. AI models may reflect biases present in training data. While we take reasonable steps to mitigate harmful bias, you should independently evaluate Output for fairness and compliance with anti-discrimination and other applicable laws.

c. No Professional Advice. AI Features are provided for informational and productivity purposes only. They do not constitute legal, tax, accounting, financial, or other professional advice and do not create an attorney-client, fiduciary, or other professional relationship. You should consult qualified professionals for decisions that have legal, tax, or regulatory consequences.

7. Third-Party Technology and Integrations

a. AI Features may incorporate or rely on technology provided by third-party AI model providers or other service providers. Your use of those components may also be subject to the third party’s terms and policies. Georgia Registered Agent LLC is not responsible for the availability, accuracy, or performance of third-party services, and we make no representations or warranties regarding them.

8. Privacy

a. Our Privacy Policy (available on the Georgia Registered Agent LLC website) describes how we collect, use, and protect personal data. By using the AI Features, you consent to our data practices as described in the Privacy Policy and these AI Terms.

9. Warranties and Disclaimers

a. EXCEPT AS EXPRESSLY SET FORTH IN THESE AI TERMS, THE AI FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY OF OUTPUT.

b. We do not warrant that the AI Features will be uninterrupted, error-free, secure, or free of harmful components, or that any Output will meet your requirements or be free from errors, biases, or third-party claims.

10. Suspension and Termination

a. We may suspend or terminate your access to any or all AI Features at any time, with or without notice, for any reason or no reason, including if we reasonably believe you have violated these AI Terms or the Terms, or if continued provision would pose legal, security, or operational risk. Upon termination, your right to use the AI Features ceases immediately.
